Statutes of the movement MASS-VOLL!

Articles of Association in force since 20 February 2021 (with the amendments of the Extraordinary General Meeting of 10 August 2021, the Extraordinary General Meeting of 8 January 2022 and the General Meeting of 1 May 2022).

Art. 10

The organs of the association are:

The General Assembly;
the Board of Directors;
the auditors.

Art. 11

The supreme body of the Association is the General Assembly. It consists of the active members.

Art. 12

The General Assembly shall have the following inalienable duties:

Approval of the minutes of the last General Assembly;
Approval of the Annual Report of the Executive Board;
Receipt of the auditors' report and approval of the annual accounts;
Approval of the annual budget;
Election of the members of the Board of Directors and the Auditors;
To adopt and amend the Articles of Association;
Determination of the membership fees;
Treatment of the exclusion appeals;
Decision on the discharge of the members of the Board of Directors;
Determination of the fee and expense regulations;
possible dissolution of the Association.

Art. 13

At the General Assembly, each active member shall have one vote and the right to propose motions.
Resolutions shall be passed by a simple majority.
Passive members, honorary members and patrons shall be invited to the General Assembly but shall not have the right to vote.
Amendments to the Statutes require the approval of ⅔ of the active members present. Adopted amendments to the Statutes shall enter into force immediately.

Art. 14

The Ordinary General Assembly shall meet at least once a year in spring after having been convened by the Board.
Members shall be invited in writing to the Ordinary General Meeting at least two weeks in advance, enclosing the agenda.
The Presidium may convene an Extraordinary General Assembly. The invitation must be sent at least 14 days before the meeting and may be sent electronically.
Notice of an extraordinary and very urgent general meeting convened by the board shall be given at least 72 hours before the meeting and may be given by electronic means.
One fifth of the active members may request the convocation of an extraordinary general meeting. The invitation must be sent at least 14 days before the meeting and may be sent electronically.

Art. 15

The Presidium shall chair the General Assembly. It shall appoint a deputy if it is prevented from doing so.
At the beginning of the General Assembly, the Executive Board shall draw up a list of attendees, check the active members and give them the voting material.
The Presidium shall decide on the timing and order of voting on substantive motions.

Art. 16

The Executive Board shall be composed of at least four active members, namely:

A Presidium consisting of at least one person;
a treasurer;
an actuary;
at least one other person in charge.

The term of office shall be three years.

Art. 17

The Board of Directors:

Conducts the day-to-day business;
shall take the necessary measures to achieve the purposes of the Association;
manages the assets of the Association and the accounts of the Association;
passes resolutions by simple majority and notifies the active members of important resolutions within a reasonable period of time. The notification may be made electronically;
meets as often as the business of the Association requires;
monitors compliance with the statutes and written regulations;
convenes general meetings;
may delegate competences to committees appointed by it;
deals with applications for admission and conducts exclusion proceedings;
may employ or engage persons for reasonable compensation to achieve the purposes of the Association.

Art. 18

The Presidium shall represent the Association externally.
The Association shall be bound by the collective signature of the President and one other person from the Board.
If the President is unable to attend, the Association shall be bound by the collective signature of two persons from the Board.

Art. 19

The members of the Executive Committee as well as all other officials of the Association are volunteers and are in principle only entitled to compensation for their actual expenses and cash outlays. This provision is unalterable and irrevocable.

Art. 20

Minutes shall be kept of all meetings of the individual bodies.
Unless a member of the Board of Directors requests oral deliberation, resolutions shall be validly adopted by circular letter (including e-mail) or by appropriate electronic means.

Art. 21

The General Assembly shall elect at least one auditor or legal entity to control the accounts and to report and propose to the General Assembly.
